Terms of Service

1. Acceptance of Terms

By accessing and using PledgeEdge ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

PledgeEdge provides a technology platform that enables users ("Organizers") to create fundraising events and campaigns, and allows supporters ("Donors") to contribute funds to these events.

Important: PledgeEdge is a technology service provider, not a charity or nonprofit organization.

3. User Roles and Responsibilities

3.1 Event Organizers

  • Must provide accurate and truthful information about their events and fundraising campaigns
  • Are solely responsible for the lawful use of funds raised through the Platform
  • Must comply with all applicable local, state, national, and international laws regarding fundraising
  • Are responsible for their own tax obligations and reporting requirements
  • Must not engage in fraudulent, misleading, or deceptive practices
  • Acknowledge that PledgeEdge does not guarantee any specific fundraising results

3.2 Donors and Contributors

  • Should exercise due diligence before contributing to any event or campaign
  • Understand that contributions are made directly to event organizers
  • Acknowledge that donations are generally NOT tax-deductible unless the organizer is a registered charity
  • Should consult their tax advisor regarding any potential tax implications

4. Fees and Payment Processing

4.1 Platform Activation Fee: Event organizers must pay a one-time activation fee to publish their event and begin accepting contributions.

4.2 Payment Processing: All payments are processed through Stripe. By using PledgeEdge, you also agree to Stripe's terms and conditions.

4.3 Transaction Fees: Standard payment processing fees apply to all contributions as outlined by our payment processor.

5. Prohibited Activities

Users are strictly prohibited from:

  • Creating fraudulent or misleading campaigns
  • Raising funds for illegal activities
  • Posting content that is hateful, threatening, or discriminatory
  • Violating intellectual property rights of others
  • Attempting to circumvent payment processing systems
  • Using the Platform for money laundering or terrorist financing

6. Intellectual Property

6.1 Platform Content: PledgeEdge and its original content, features, and functionality are owned by PledgeEdge and are protected by international copyright, trademark, and other intellectual property laws.

6.2 User Content: You retain ownership of content you upload to PledgeEdge but grant us a worldwide, non-exclusive license to use, display, and distribute such content in connection with operating the Platform.

7. Dispute Resolution

PledgeEdge is not responsible for disputes between organizers and donors, or between users. However, we reserve the right to suspend or terminate accounts if we become aware of fraudulent activity or terms violations.

8. Account Termination

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms, engaged in fraudulent activity, or for any reason that protects the integrity of our Platform and community.

9. Disclaimers and Limitation of Liability

9.1 THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 PLEDGEEDGE IS NOT LIABLE FOR THE ACTIONS OF ORGANIZERS OR THE USE OF FUNDS RAISED THROUGH THE PLATFORM.

9.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLEDGEEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Pennsylvania, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
